1. Introduction and Definitions
1.1 Al-Ajans Platform
An electronic platform that enables authorized agents (car dealers) by Al-Ajans to showcase their cars for sale, allowing customers ("customers" or "users") to view and purchase those cars.
1.2 Sylndr
An entity providing vehicle inspection services, documenting purchase procedures, transferring ownership, and facilitating the transfer of funds between the customer and the dealer (Transaction Service via Sylndr). Note that Sylndr does not own the displayed cars and bears no legal obligations as the owner or seller of the vehicle.
1.3 Dealer
The seller (car dealer) who joins the Al-Ajans platform after meeting the accreditation requirements set by Al-Ajans or Sylndr, displaying their cars on the platform.
1.4 Service
Includes all electronic functions provided by the Al-Ajans platform, including:
- Showcasing and inspecting cars (before publication) by Sylndr
- Booking a visit with the dealer to view the car and direct agreement between the customer and the dealer
- The option to make a purchase through Sylndr (Transaction Service via Sylndr), including re-inspection, documenting the sale, receiving funds from the customer, and transferring them to the dealer after completing the legal procedures
1.5 Customer
A natural or legal person visiting the platform to view cars and complete the purchase process.
1.6 User
Refers to any person accessing the Al-Ajans platform, including both customers and dealers.
2. Acceptance of Terms and Use
2.1 Acceptance
Your access to or use of the Al-Ajans platform in any form constitutes your explicit acceptance of all terms contained in these terms and conditions and your commitment to comply with them.
2.2 Disagreement
If you do not agree to any of these terms and conditions, you must immediately cease using the platform.
2.3 Modification Rights
The Al-Ajans platform reserves the right to modify these terms and conditions at any time, with users being notified of the changes via the platform or through the registered email.
3. Nature of the Service
3.1 Role of Al-Ajans Platform
- The platform provides an electronic space for the dealer to display cars they own or represent legally.
- Al-Ajans does not represent a party in the direct sale process between the dealer and the customer unless the customer opts for the Transaction Service via Sylndr.
3.2 Transaction Service via Sylndr
- If the customer chooses to purchase the car through Sylndr, Sylndr provides additional vehicle inspection services, ownership transfer documentation, and financial collection from the customer on behalf of the dealer.
- Sylndr's responsibility is limited to facilitating the process and does not guarantee or bear any obligation regarding the ownership of the vehicle or its quality or final condition after receipt.
3.3 Disclaimer
- The platform guarantees the publication of an accurate inspection report for the vehicle before it is displayed to ensure transparency, but it does not bear any responsibility for defects or damages occurring after the inspection or as a result of using the vehicle between the inspection and purchase
- If the customer discovers any discrepancies or defects after purchase, they may contact Sylndr, which will intervene amicably with the dealer to resolve the dispute, but without bearing any legal or material consequences on behalf of the dealer or guaranteeing a refund, as the actual owner is the dealer.
4. Vehicle Purchase Mechanism
4.1 Option 1: Direct Purchase from the Dealer
- The customer can book an appointment through the platform with the dealer.
- The customer inspects the car and agrees on price and payment method directly with the dealer.
- Al-Ajans's responsibility is limited to coordinating the visit only and does not extend to documenting the sale or fulfilling legal obligations.
4.2 Option 2: Purchase via Sylndr
- The customer pays the value of the car (or part of it according to agreement) to Sylndr.
- Sylndr transfers the amount to the dealer after legal ownership transfer and title handover to the customer.
- Sylndr performs a re-inspection to ensure the car matches the initial inspection report.
- A new inspection report is issued to the customer.
- This service incurs a fee based on Sylndr's pricing, communicated before payment.
5. Vehicle Inspection Procedures
5.1 Initial Inspection Before Publication
Each vehicle displayed on the platform (bearing the Sylndr inspection stamp) undergoes an initial inspection and the inspection report is published. The report includes:
- Information available at the time of inspection.
- No guarantee regarding the future condition of the vehicle or faults appearing later.
5.2 Additional Inspection in Case of Purchase via Sylndr
- The car is re-inspected at the customer's request to ensure no major changes have occurred since the initial inspection.
- If significant differences are detected, both customer and dealer are informed before proceeding further.
6. Fees and Payment Method
6.1 Platform Usage Fees
Browsing the platform and booking visits with dealers is free by default, but future changes to this policy may introduce fees or commissions, with prior notice to users.
6.2 Transaction Service Fees via Sylndr
- When choosing the Transaction Service via Sylndr
- a fee applies based on the pricing policy published on the platform or communicated at the start of the process.
6.3 Payment Method
Payments from customers to Sylndr (for Transaction Service) may be made using:
- Cash
- Bank transfer
- Credit card
7. Rights and Obligations of Customers
7.1 Accuracy of Information
The customer undertakes to provide accurate and up-to-date information, including contact details and payment methods.
7.2 Good Faith Use of Service
The customer commits not to use the platform for any fraudulent activities or actions that violate public order or applicable laws.
7.3 Inspection Responsibility
The customer is responsible for verifying the car's condition before completing the final purchase. If defects are found after delivery, Sylndr's role is limited to amicable mediation without bearing legal liability.
8. Rights and Obligations of Dealers
8.1 Commitment to Information Accuracy
The dealer must provide accurate and updated information regarding the vehicle’s condition, history, and price.
8.2 Fulfillment of Legal Obligations
The dealer is responsible for transferring ownership to the customer and providing the necessary legal documents, either directly or through Sylndr.
8.3 Cooperation with Sylndr
In the event of a purchase through Sylndr, the dealer commits to cooperate and complete the necessary procedures for ownership transfer, providing all required documents and information.
9. Disclaimer and Warranties
9.1 Limitations of Platform Liability
Al-Ajans or Sylndr bears no liability for any direct or indirect damages or losses resulting from the use of the platform or the published information.
9.2 Non-Ownership of Vehicles
Sylndr does not own the vehicles displayed by dealers and provides no express or implied warranties regarding the condition or fitness of any vehicle.
9.3 Dispute Resolution
In case of a dispute between the dealer and the customer, Sylndr or Al-Ajans will attempt to intervene amicably without assuming legal responsibility unless otherwise stated by law.
10. Intellectual Property
10.1 Copyrights and Trademarks
All content available on the platform (logos, texts, graphics, designs, etc.) is owned by Al-Ajans, Sylndr, or their respective owners and protected by intellectual property laws.
10.2 Prohibition of Commercial Use
Copying or using any part of the platform's content for commercial purposes without prior written permission is prohibited.
11. Privacy and Data Protection
11.1 Data Collection
Certain personal or contact information may be collected during registration or use of the platform.
11.2 Data Retention
Collected data is stored according to the applicable privacy policy and not shared with third parties except with user consent or as required by law.
11.3 Use of Data
User data is used to improve services, communicate with users, and complete transactions. Details are outlined in the platform’s Privacy Policy.
12. Governing Law and Dispute Resolution
12.1 Applicable Law
These terms and conditions are governed by the laws of the Arab Republic of Egypt unless otherwise specified.
12.2 Jurisdiction
The courts of the Arab Republic of Egypt shall have jurisdiction to resolve any disputes related to the platform, unless parties agree in writing to alternative dispute resolution methods.
13. General Provisions
13.1 Severability
If any provision of these terms is deemed invalid or unenforceable, the remaining provisions shall remain in effect.
13.2 Force Majeure
Al-Ajans or Sylndr shall not be held liable for failure to fulfill obligations due to circumstances beyond their control, such as natural disasters or governmental decisions.
13.3 Communication
For inquiries or complaints regarding these terms, users can contact Sylndr via the official communication channels provided.
13.4 Entire Agreement
These terms constitute the entire agreement between the user and the platform, superseding any prior agreements or communications regarding the same subject.
Conclusion
By using the Al-Ajans platform, you confirm your acceptance of these terms and conditions and agree to abide by them. If you do not agree, please stop using the platform immediately.
